In this Corporate Counsel position, you will support Forcepoint's global business operations as a member of the Commercial Contracts Team in the Forcepoint Legal Department. We are looking for a motivated, curious attorney who brings a solid foundation in commercial contracts and legal negotiations and is eager to deepen their expertise and hone their craft in a dynamic, fast-paced environment, but is humble enough to ask questions and learn. You will perform a variety of legal services, including the Key Responsibilities below, with your primary focus on reviewing, interpreting, drafting, revising, and negotiating commercial contracts, as well as advising the business on the operational impacts of agreed terms and ensuing relationships.

You will be expected to dig in and quickly develop expertise in Forcepoint's Products, business, and go-to-market strategies and initiatives to support Forcepoint's sales efforts while working directly with end user customers and through Forcepoint's channel network. This will include leading contractual negotiations and advising account teams on legal strategy. However, the Forcepoint legal team is a fluid and collaborative organization. You will also be expected to assist with Supplier-side contracts, including Supplier services agreements, real estate leases, supply chain contracts, and software EULAs and related service agreements for Forcepoint's internal use.

At all times we expect you to exercise sound legal judgment within defined internal policies and risk tolerances to determine appropriate action while producing high-quality work with quick turnaround times in a flexible and fast-paced environment, in close collaboration with experienced team members.

Key Responsibilities

  • Review, interpret, draft, revise, and negotiate commercial contracts

  • Build productive internal and external professional relationships to find creative solutions and facilitate Forcepoint's fulfillment of desired organizational objectives

  • Partner closely with various internal stakeholders to advise and strategize on business and legal issues as they arise

  • Collaborate with various business teams to develop, assess, and refine internal policies and procedures to achieve efficiencies and legal compliance across Forcepoint's global organization

  • Actively learn and apply Forcepoint's unique policies, practices, and risk tolerances to deliver consistent and well-calibrated legal advice

  • Identify and analyze issues that require escalation to appropriate subject matter experts, and effectively facilitate their engagement

  • Recognize and perform other duties and projects as needed and assigned

Required Qualifications and Skills

Location: Hybrid in office (Austin, Texas)

  • J.D. from an accredited institution

  • U.S. State Bar member in good standing and eligible to practice

  • Minimum 3 years of in-house legal experience in the computer technology industry at a multinational technology company, performing responsibilities consistent with those described above

  • Based in Austin, TX

  • Intellectually curious and motivated, with a continuous drive to learn, refine, and deepen expertise in commercial contracts, legal strategy, and technology

  • Resourceful with creative approaches to problem solving

  • Organized with excellent analytical, communication, and writing skills

  • Capable of effectively prioritizing and managing multiple projects in a high-energy environment

  • Collaborative in a team setting, with the ability to build strong working relationships across functions

Preferred Qualifications and Skills

  • Experience with privacy and security matters relating to technology transactions and commercial contracts

  • Familiarity with Microsoft Office, DocuSign, and Salesforce

  • Comfort and experience working with A.I. tools and technologies

Forcepoint is committed to fair and equitable compensation practices. The salary range and variable compensation for this role is 120,000.00 - 150,000.00 and represents the low and high end of compensation for this position. Actual salaries are determined by various factors including, but not limited to, location, experience, and performance.Therange listed is just one component of Forcepoint's total compensation package for employees.
