We are seeking an experiencedemployee benefits and executive compensation attorney to join the Corporate & Securities group in EQT's Legal Department as Senior Counsel, Employee Benefits & Executive Compensation. This attorney will serve as a trusted advisor to the company's human resources and executive management teams on a wide range of matters relating to employee compensation and benefits, executive and director compensation, and ERISA compliance. The role will also provide legal guidance and support on related governance, tax, disclosure and regulatory issues, and will work closely with Human Resources, Finance, and senior leadership. The Senior Counsel - Employee Benefits & Executive Compensation responsibilities include but are not limited to: Employee Benefits
- Advise on the design, implementation and administration of employee compensation, health and welfare, and retirement benefit plans.
- Ensure compliance with ERISA, the Internal Revenue Code, ACA, HIPAA, COBRA and other applicable laws and regulations.
- Support benefit plan governance, fiduciary oversight and employee communications.
Executive & Director Compensation
- Advise on executive and director compensation programs, including equity incentive plans, deferred compensation, and severance arrangements.
- Review, draft and negotiate employment agreements, change-in-control agreements, severance agreements and other compensation-related documents.
- Advise on compensation-related corporate governance matters, including proxy disclosures and shareholder engagement on executive compensation-related matters.
Regulatory & Compliance Matters
- Monitor and interpret legislative and regulatory developments affecting benefits and compensation programs.
- Proactively partner with EQT's human resources team to review and develop policies and procedures to ensure legal compliance with federal, state and local laws and alignment with applicable rules and best practices.
- Support the broader Corporate & Securities team in reporting, disclosure, and compliance obligations under SEC, IRS, DOL and stock exchange rules.
Cross-Functional Legal Support
- Review, draft and negotiate contracts with service providers relating to the Company's compensation and benefits plans and programs.
- Collaborate with internal teams on compensation and employee benefits elements of M&A transactions, due diligence, and integration of benefit and compensation programs.
- Provide legal support on compensation and benefits issues and decisions, as applicable.
- Efficiently manage external counsel as needed to manage complex legal issues.
- Perform other responsibilities as assigned or as may be necessary.
Required Experience and Skills:
- Juris Doctor (JD) degree from an accredited law school; admitted to practice and in good standing in at least one U.S. jurisdiction.
- 10+ years of relevant experience, with a strong background in employee benefits, executive compensation, and ERISA matters (law firm and/or in-house experience, with a combination of law firm and in-house experience preferred).
- In-depth knowledge ofall areas of responsibility outlined above, including ERISA, relevant aspects of the Internal Revenue Code and related regulatory frameworks.
- Familiarity with securities laws and disclosure requirements related toexecutive compensation is a plus.
- Strong analytical, drafting and communication skills.
- Proven ability to partner effectively across functions and provide practical, business-oriented legal advice.
- Collaborative team player with a proactive and solutions-oriented approach.
- Willingness to embracea mindset of continuous improvement and commitment to help evolve the way we work within EQT's digital work environment.
Remote work is being considered for this role excluding the following states: California, Connecticut, Delaware, Illinois, Indiana, Louisiana, Massachusetts, Michigan, New Jersey, New York, and Tennessee unless willing to relocate.
