At First Mid, base salary is one component of our Total Rewards program. Exact compensation is determined by factors such as (but not limited to) education, skills, internal equity, and experience. This position offers additional compensation in the form of discretionary short-term incentives (i.e. bonus, incentives, and/or commission). The Associate General Counsel provides comprehensive legal support to First Mid Bancshares across a wide range of operational, regulatory, and transactional matters. This position plays a key role in managing legal risk, ensuring compliance, and supporting business objectives for First Mid Bancshares and its affiliates. The Associate General Counsel partners with senior leadership to deliver practical, business-focused legal advice that supports our vision to be a nimble, community-focused financial organization committed to quality, growth, and earned independence for the benefit of all our stakeholders.


Responsibilities include, but are not limited to:

* Provide legal counsel on matters relating to loan documentation, workouts, and the management of special assets.

* Support loan processing teams by reviewing and advising on loan agreements, collateral documents, and related compliance requirements.

* Advise Human Resources on employment law issues, employee relations, policy development, and regulatory compliance under federal and state employment laws.

* Assist the Tax and Legal Department with responses to record requests, garnishments, subpoenas, and powers of attorney inquiries.

* Provide legal guidance for real estate and facilities transactions, including the negotiation and review of building leases, property sales, and purchase agreements.

* Review, draft, and negotiate various vendor and third-party contracts to ensure our interests are protected.

* Collaborate with compliance, risk management, and internal audit teams to ensure adherence to regulations and internal policies.

* Assist in managing relationships with outside counsel, ensuring efficient use of external legal resources.

* Monitor changes in laws, regulations, and industry practices impacting our business lines and provide recommendations to ensure continued compliance.

* Support the General Counsel and executive leadership on special projects and strategic initiatives as needed.


Qualifications

Education/Experience:

* Juris Doctor (J.D.) degree from an accredited law school.

* Active license to practice law and member in good standing of at least one U.S. state bar (Illinois Bar preferred).

* Minimum of 7 years of legal experience, with a preference for experience in banking, financial services, or a regulated industry.

* Experience advising on commercial lending, real estate transactions, or special asset management strongly preferred.

* Prior exposure to employment law, contract review, and regulatory compliance matters.


Skills:

* Strong knowledge of regulations, laws, and related compliance frameworks impacting the financial services industry.

* Excellent analytical, problem-solving, and judgment skills, with the ability to deliver practical legal advice.

* Exceptional written and verbal communication skills, including the ability to explain complex legal concepts in clear, business-oriented language.

* High level of integrity, professionalism, and discretion in handling confidential matters.

* Strong organizational and time management abilities with the capacity to manage multiple priorities effectively.

* Proficiency in Microsoft Office and legal research tools.

* Collaborative and team-oriented approach with a focus on supporting operational efficiency and risk mitigation.
