Job Description

SCOPE OF ROLE:

As the Director of Corporate Development, this individual will work directly with key members of leadership within Cornerstone Building Brands including Business Unit and Functional Leaders (in conjunction with the rest of the Strategy & Business Development team) on key strategic projects from initial design and planning through execution. This individual will report to the Vice President, Corporate Development with responsibility in managing all aspects of Corporate Development execution activities. This includes M&A pipeline development, functional and business diligence, valuation modeling, transaction negotiations and integration planning/support. Additionally, this role will support Strategy Development and Implementation and Board-level content preparation. The individual in this role must excel in the Board-room setting, have exceptional Excel & PowerPoint capabilities, strong financial modeling skills, and be capable of handling multiple complex projects simultaneously while coordinating with internal and external resources. This role works within a cross-functional matrixed environment which requires leading by influence to accomplish organization-wide goals.

KEY OBJECTIVES AND RESPONSIBILITIES:

  • Lead and oversee all elements of the corporate development process (acquisitions, partnerships, ventures and divestitures), including target identification, target cultivation, strategic rationale, valuation, due diligence, negotiations, deal strategy contract management, and integration.
  • Develop and deliver communication materials for executive leadership, and board of director reviews. Present to executive leadership on corporate development items, including acquisition pipeline activity, potential dispositions, potential targets, diligence updates, and recommended actions
  • Develop and actively manage strategic acquisition funnels and pipelines at the business unit and enterprise level
  • Manage investment banker, private equity, venture capital, and other relationships
  • Develop and maintain relationships with financial, tax and legal advisors
  • Maintain awareness of market activity and develop external perspectives on competitors, market attractiveness, and target positioning assessment
  • Define optimal combination or disposition process to achieve the strategic goals of a transaction
  • Build complex valuation models to evaluate mergers, acquisitions, divestitures, and partnerships
  • Evaluate tax, accounting, earnings, and return implications
  • Lead deal negotiations, working with legal partners to draft and negotiate contracts and closing documents
  • Manage regulatory filings and approvals process, develop transition services agreements, post-closing adjustments, and internal and external communications
  • Manage deal execution process and synthesize input on opportunities and risks
  • Develop and communicate robust transition work plans and ensure seamless transition / integration

  • Acts as a catalyst for aligning teams around core strategies and priorities

Qualifications

EDUCATION AND WORK EXPERIENCE REQUIREMENTS:

  • Bachelor's degree required (preferably in the areas of Business or Operations concentration, i.e., Finance, Engineering, Economics, etc.). MBA strongly preferred,
  • 7+ years of M&A transaction experience (Corporate Development, Investment Banking, Private Equity, or Transaction Advisory consulting), including leading cross-functional teams during M&A process
  • Proven experience in deal execution, capable of supporting acquisition, joint venture and divestiture opportunities from idea through to successful close
  • Proven experience in developing financial models, performing valuation analysis, and developing forecasting models. Exceptional PowerPoint creation skills a must
  • Proven ability to provide effective leadership and influence in a matrixed, cross-functional environment.
  • Proven experience in transaction project management and due diligence activities
  • Proven experience in transaction structuring and negotiation
  • Experience in industrials, manufacturing, and/or building products preferable
